Terms and Conditions for TaxPro Reply (Updated As Of: 02/24/2025)

These Terms and Conditions ("Terms") govern your use of the TaxPro Reply service ("Service"). By accessing or subscribing to the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Use of the Service

You may use the Service solely for lawful purposes and in accordance with these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. Unauthorized use, including attempts to disrupt or interfere with the Service, is prohibited and may result in account suspension or termination.

2. Subscription and Billing

The majority of our subscribers opt for annual plans. However, the following applies to all subscriptions:

Payment: Subscription fees are due in full at the start of each term. Subscriptions renew automatically unless canceled prior to the renewal date.

Wallet Balance: Subscribers must maintain a positive wallet balance to cover additional fees, features, or services incurred during the term beyond the base subscription cost. This ensures uninterrupted access and supports ongoing Service operations. If your balance remains negative for 20 days following email notification, we reserve the right to suspend or terminate your account. You remain liable for any outstanding fees.

Cancellation: You may cancel your subscription at any time; however, fees are non-refundable except as required by applicable law. To avoid renewal charges, cancellation must occur at least 24 hours before the renewal date.

Fee Adjustments: We may modify subscription fees with prior notice. Changes will apply at the start of your next billing cycle.

3. User Obligations

You agree to provide accurate information when using the Service and to refrain from any illegal or harmful activities. If you use the Service on behalf of clients, you are solely responsible for managing their data and ensuring compliance with applicable laws.

4. Intellectual Property

TaxPro Reply retains ownership of the Service, including all associated software, content, and technology. Your subscription grants you a limited, non-transferable license to use the Service during your term, subject to these Terms. We may modify or discontinue the Service at our discretion, with notice where feasible.

5. Disclaimer of Warranties

The Service is provided "as is" with no warranties, express or implied. While we strive for accuracy and reliability, we do not guarantee uninterrupted operation or error-free performance. Your use of the Service is at your own risk, and we disclaim liability for inaccuracies or losses except as mandated by law.

6. Limitation of Liability

Our liability for any claims arising from the Service is limited to the amount you paid us in the preceding 12 months. We are not liable for indirect, consequential, or incidental damages, including lost profits, unless required by applicable law.

7. Termination

You may discontinue use of the Service by canceling your subscription. We may suspend or terminate your account for violations of these Terms, non-payment, or failure to maintain a positive wallet balance (as outlined in Section 2). Notice will be provided where practicable, and any accrued obligations remain enforceable.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California. Any disputes will be resolved through binding arbitration in California, except for matters eligible for small claims court. Arbitration will follow the rules of the American Arbitration Association.

9. Amendments

We may update these Terms periodically to reflect changes in the Service or legal requirements. Revised Terms will be posted on this page, and we will notify you via email or within the Service. Continued use of the Service constitutes acceptance of the updated Terms.
